1. Acceptance of Terms

By accessing reqopen.com (the "Site") or using any of our recruitment services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our services.

These Terms apply to all visitors, candidates, employer clients, and agency partners.

2. Our Services

ReqOpen provides AI-powered recruitment services including:

• Candidate placement: Matching candidates to open roles and facilitating interviews and offers
• Employer sourcing: Sourcing, scoring, and presenting qualified candidates to employers
• RPO services: Embedded recruitment support for companies on ongoing hiring plans
• Offshore sourcing: India-market talent sourcing for international agencies

3. Candidate Terms

3.1 Registration and Profile

To receive placement services, you must provide accurate, current, and complete information about your professional background. You agree to update your profile promptly if circumstances change (e.g., you accept another offer).

3.2 No Fee for Candidates

ReqOpen's services are free for candidates. We do not charge candidates for job matching, interview prep, offer negotiation, or placement. If you are asked to pay by anyone claiming to represent ReqOpen, contact us immediately.

3.3 Candidate Obligations

• Provide truthful information in your profile and all communications
• Notify us promptly if you accept an offer through any channel
• Attend scheduled interviews or provide at least 24 hours' notice if you need to reschedule
• Not share employer interview details, proprietary information, or ReqOpen shortlists without permission

4. Employer Terms

4.1 Service Agreement

Employers engage ReqOpen under a separate written service agreement ("Placement Agreement") which supersedes these Terms in the event of conflict. These Terms govern general site use and are supplementary to the Placement Agreement.

4.2 Fees

ReqOpen charges a success fee upon a confirmed placement (offer acceptance). Fees are specified in the Placement Agreement. No fee is due if no placement is made. RPO engagements are billed on a monthly retainer basis as agreed.

4.3 Replacement Guarantee

If a placed candidate exits (voluntarily or involuntarily) within the guarantee period specified in the Placement Agreement, ReqOpen will conduct one re-sourcing effort at no additional success fee charge. This guarantee applies once per placement and is void if the termination is caused by redundancy, company restructuring, or business closure.

4.4 Employer Obligations

• Provide accurate job descriptions and hiring criteria
• Provide timely feedback on presented candidates (within 5 business days)
• Not approach candidates sourced by ReqOpen directly to circumvent our process within 12 months
• Pay agreed fees within 30 days of invoice date

5. Acceptable Use

You agree not to:

• Submit false or misleading information to the Site or to us
• Use our services to solicit candidates for your own competing recruitment firm
• Scrape, copy, or extract data from the Site by automated means
• Attempt to gain unauthorised access to any part of the Site or our systems
• Use our services for any illegal purpose or in violation of applicable laws
• Harass, threaten, or discriminate against candidates or employers you interact with through ReqOpen

6. Intellectual Property

All content on the Site — including text, design, logos, AI models, and scoring methodology — is the intellectual property of ReqOpen. You may not reproduce, distribute, or create derivative works without our written permission.

You retain ownership of the content you submit to us (resumes, JDs, etc.). By submitting it, you grant us a non-exclusive licence to use it for the purpose of providing our services.

7. Confidentiality

Both parties agree to keep confidential any non-public information exchanged during the engagement, including candidate profiles, salary information, company hiring plans, and fit scores. This obligation survives termination of the service relationship.

8. Limitation of Liability

ReqOpen's liability for any claim arising from these Terms or our services is limited to the fees paid by the employer in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental losses including lost profits, missed hires, or business disruption.

We make no guarantee that a placement will be successful or that a candidate will accept an offer.

9. Termination

Either party may terminate their engagement with ReqOpen at any time with written notice. Termination does not affect fees owed for placements already made. We reserve the right to suspend or terminate access to our services for any user who violates these Terms.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

11. Changes to Terms

We may update these Terms from time to time. We'll notify active clients and candidates of material changes by email. Continued use of our services after the updated Terms take effect constitutes acceptance.
